CenterPoint Energy Resources Corp. Announces Pricing of Tender Offers
CenterPoint Energy Resources Corp. (“CERC”), an indirect, wholly owned subsidiary of CenterPoint Energy, Inc. (NYSE: CNP), announced today the applicable reference yield (the “Reference Yield”) for the Notes (as defined below) and the applicable total consideration (the “Total Consideration”) to be paid in connection with the previously announced cash tender offers (each, a “Tender Offer” and collectively, the “Tender Offers”) for up to $350,000,000 aggregate purchase price (excluding Accrued Interest) (the “Aggregate Maximum Amount”) of the 4.10% Senior Notes due 2047 (the “2047 Notes”), 4.40% Senior Notes due 2032 (the “2032 Notes”), 5.40% Senior Notes due 2034 (the “2034 Notes”) and 4.00% Senior Notes due 2028 (the “2028 Notes”) (collectively, the “Notes”), in the priorities set forth in the Offer to Purchase; provided, that the offers to purchase the 2047 Notes and the 2032 Notes will be subject collectively to an aggregate principal amount sublimit of $300,000,000 (the “2047/2032 Notes Tender Cap”) and the offer to purchase the 2034 Notes was subject to an aggregate principal amount sublimit of $100,000,000 (the “2034 Notes Tender Cap”). In connection with the announcement of the early results of the Tender Offers, CERC also announced that it has (i) increased the previously announced Aggregate Maximum Amount from up to an aggregate purchase price (excluding Accrued Interest) of $350,000,000 to up to an aggregate purchase price (excluding Accrued Interest) of $400,000,000 (such increased aggregate purchase price (excluding Accrued Interest), the “New Aggregate Maximum Amount”) and (ii) eliminated the previously announced 2034 Notes Tender Cap. The Tender Offers are being made upon the terms and subject to the conditions set forth in the Offer to Purchase dated September 8, 2026 (as amended and as may be amended or supplemented from time to time, the “Offer to Purchase”).
