Enlivex Announces Termination of Previously-Announced Financing Payable in RAIN Tokens

Nes-Ziona, Israel, Sept. 22, 2026 (GLOBE NEWSWIRE) -- Enlivex Ltd. (Nasdaq: ENLV) ("Enlivex" or the "Company"), a quality longevity company powered by a prediction markets treasury, today announced the termination of a securities purchase agreement entered into with the Rain Foundation, pursuant to which the Company had agreed, subject to shareholder approval, to sell and issue to the Rain Foundation in a private placement an aggregate of 66,666,667 of the Company’s ordinary shares, which the investor had elected to purchase using RAIN tokens.

The Company terminated the securities purchase agreement in accordance with the Company’s termination rights thereunder; therefore, the Company will not consummate the private placement contemplated thereby nor seek shareholder approval in respect thereof.
